Subject to the terms and conditions hereinafter set forth, Six & Six, Inc./MauiDeals.com offers Internet Listings/Postings to "Users/Advertisers" on MauiDeals.com, plus additions and amendments thereto, as follows:

1. In consideration for the rights granted hereunder,MauiDeals.com reserves the right to prohibit, alter, or terminate this agreement and use of MauiDeals.com's services without notice to User/Advertiser as to listings on this Site which offers no guarantee submitted "FREE listings" will be posted and will ensure that the MauiDeals.com's use of the internet complies with all applicable federal, state and local law and regulation, including but not limited to those principles of law which protect against compromise of copyrights, trade secrets, proprietary information and other intellectual property rights, libel or defamation of character, invasion of privacy, tortuous interference, and export of technical or military data to prohibited countries, and that which is prohibited by federal law. Advertising or use or "linking" of pornographic content, nude photographs, or explicit language is strictly prohibited and advertising will be cancelled and User/Advertiser will be banned from further use of MauiDeals.com's services.

User/Advertiser shall indemnify and hold MauiDeals.com harmless from any and all cost, expense or damages on account of any and all manner of claims, demands, actions and proceedings that may be instituted against MauiDeals.com on grounds alleging that any posted material violates any of the above. At user's/advertiser's expense, such claim, demand, action or proceeding that may be brought against MauiDeals.com providing that MauiDeals.com promptly notify user/advertiser with respect thereto and providing further that MauiDeals.com shall give user/advertiser such reasonable time as the exigencies of the situation may permit in which to undertake and continue the defense thereof.

You the user/advertiser promise that you will not use the MauiDeals.com web site to:

1. post, upload or otherwise transmit any content not related to appropriate subject matters;
2. post, upload or otherwise transmit any content which is misleading to others, including consumers;
3. post, upload or otherwise transmit any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
4. post, upload or otherwise transmit any content that you do not have a right to post and transmit under any law or under contractual relationships;
5. post, upload or otherwise transmit any content, such that such posting, uploading, or transmission constitutes the infringement of any patent, trademark, trade secret, copyright or other proprietary rights of any party;
6. post, upload or otherwise transmit any materials that contain software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or
7. intentionally or unintentionally violate any applicable local, state, national or international law, or any regulations having the force of law, including the Civil Rights Act of 1866, the Fair Housing Act, the Americans with Disabilities Act, and the Equal Credit Opportunity Act.

By posting content to the MauiDeals.com web site, you grant MauiDeals.com a non-exclusive license to host, use, reproduce, modify, distribute, transmit, combine with information provided by third parties, and publicly display such content on and through web sites controlled by MauiDeals.com, including but not limited to the MauiDeals.com web site, and co-branded or mirrored versions of such sites, and inMauiDeals.com's promotional or advertising materials, and sublicense to third parties such content to the extent necessary for the creation and maintenance of, in part or in whole, such sites.

You acknowledge that while MauiDeals.com does not pre-screen content posted by you to the MauiDeals.com web site, MauiDeals.com and its designees shall have the right (but not the obligation) in their sole discretion to refuse or remove any content that is posted by you or any other party to the MauiDeals.com web site. Without limiting the foregoing, MauiDeals.com and its designees shall have the right to remove any content that violates this Agreement or is otherwise objectionable, and to terminate your access to any or all of the MauiDeals.com web site at any time without notice for any reason whatsoever. You agree that you must evaluate, and bear all risks associated with, the use of any content you post to theMauiDeals.com web site, including any reliance on the accuracy, completeness, or usefulness of such content.

MauiDeals.com reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

By posting, uploading, inputting, providing or submitting content to the MauiDeals.com web site, you warrant and represent that you own or otherwise control all of the rights to such content including, without limitation, all the rights necessary for you to provide, post, upload, input or submit such content.

2. In the event that MauiDeals.com shall at any time initiate any proceeding or become involved in any suit to enforce any of its rights under this agreement or for any breach thereof, and obtain a settlement or recovery in its favor, User/Advertiser shall pay all costs thereof including attorneys fees, travel, investigations, transcriptions of depositions and court proceedings, arbitration hearings and like expenses. The parties agree that the laws of the State of Colorado (including any Federal District Court) shall apply with respect to sole and exclusive jurisdiction over all controversies arising with respect to this agreement, Subscriber waiving its right to venue to have the case transferred to a court in another state or to oppose transfer of this case from any other state to the State of Colorado.

3. Limitation of Liability: MauiDeals.com's maximum liability, whether by negligence, contract, or otherwise, is expressly limited to the refund of the amount User/Advertiser paid (if any) for the service in dispute.

The warranty and remedy provided above are exclusive and in lieu of all other warranties, express and implied, including implied warranties of merchantability and fitness for a particular purpose. Any statements or representations by any other person are void. Except as otherwise provided. MauiDeals.com shall not be liable for any loss, inconvenience, or damage, including direct, special, incidental, or consequential damages resulting from the use or inability to use its web site.
